About Terra Rossa Gold

Terra Rossa Gold listed on the TSX Venture Exchange in October 2025 through a reverse takeover of Baroyeca Gold & Silver. A reverse takeover is when a private company goes public by merging into a listed shell. Alongside the deal it raised C$5.95 million in special warrants for exploration and corporate purposes.

Its single asset is the 100%-owned Vetas gold project: 9 mineral claims covering about 313.9 hectares in the California-Vetas district, about 70 km northeast of Bucaramanga. The project comes with a large historical database. Previous owner CB Gold drilled 162 holes (about 71,000 m) between 2010 and 2013, and the company cites about $68 million in historical spending (currency not stated).

Management changed in April 2026. Carter Smith, a Spanish-speaking finance and M&A professional, became President and CEO, and Patrick Downey became Chairman. Veteran geologist Doug Kirwin, a former Ivanhoe Mines executive, is lead technical adviser. Carlos Alberto Velásquez, formerly with Mineros, is Exploration Manager.

The company has a local team and a community relations office in the town of Vetas. In 2026 it shifted from reviewing old data to drilling: a program of up to 5,000 m started at the end of August 2026.

Terra Rossa Gold’s Colombian projects

Vetas Gold Project

Vetas sits in the California-Vetas belt, a cluster of epithermal gold deposits. Epithermal deposits form near surface from hot fluids and are often high grade. The gold occurs in quartz veins and fine vein networks (stockwork) in gneiss, alongside several intrusive rocks. The project is about 3 km north of the Soto Norte area, which the company describes as a multi-million-ounce project.

CB Gold’s 2010–2013 drilling returned narrow, very high-grade hits, such as 0.74 m at 506.69 g/t gold in the Arias zone and 3.31 m at 78.14 g/t gold at Real Minera. Wider historical intervals include 40.89 m at 17.17 g/t gold. These are historical results the company has not yet verified.

In 2025 Terra Rossa sampled artisanal tunnels across several titles, including San Bartolo, Santa Isabel and Los Delirios. Phase 1 drilling (Kluane Drilling, one rig) began in late August 2026. Of the 13 planned holes, 8 are at Real Minera. The program aims to check historical results and test for broader stockwork mineralization at depth and along strike. Assays are expected through Q4 2026.

Vetas is one of the Santander municipalities involved in Colombia’s Santurbán páramo delimitation. A páramo is a high-altitude Andean wetland where mining is banned by law. A 2026 move to delimit the páramo in stages was challenged in court, and a Bucaramanga judge provisionally suspended Resolution 0992 of 2026 in September 2026. Terra Rossa has not said in sources reviewed whether any of its claims overlap the páramo.

Resources: No current NI 43-101 resource. The company refers to a historical mineral resource from CB Gold’s work; figures were not confirmed in sources reviewed and should be treated as historical.

Key risks for Terra Rossa Gold stock

  • Páramo and policy risk: Vetas is in the Santurbán delimitation process, where mining is banned inside páramo boundaries and the rules remain contested in court.
  • Historical data risk: the drilling and resource date from 2010–2013 under a previous owner and have not yet been verified.
  • Narrow high-grade veins can be hard to mine at scale and are sensitive to dilution.
  • Small land package (about 314 ha) limits room for growth compared with district-scale peers.
  • Funding: the company raised C$5.95 million in 2025, and drilling plus marketing will use it up, making further raises likely.
  • Artisanal mining is widespread across the district, which adds community and title-overlap complexity.
